In the event of payment by transfer or Woodbrass gift voucher, the Order will only be processed upon receipt of payment. Consequently, the deadlines applicable in this case are those on the day of processing of receipt by the Seller of the Customer's payment and can therefore be modified compared to those mentioned on the day of placing the Order.

When the Customer orders several Products at the same time and they have different delivery times, the delivery time of the Order is based on the furthest delivery time. However, the Seller reserves the right to split shipments. Participation in processing and shipping costs will only be charged for a single shipment. Additional time is generally to be expected for shipments to Corsica and outside mainland France.

In the event of a foreseeable extension of the supply time, the Seller undertakes to inform the Customer as soon as possible and by any means (e-mail, telephone or postal mail) so that the Customer can choose to maintain or totally/partially cancel their Order. In the event of a supply delay, the Seller will inform the Customer by email/telephone and propose a new delivery time.

In any case and in accordance with the legal provisions in force, in the event of late delivery, the Customer may cancel his Order, if after having given notice to the Seller to deliver the Products within a reasonable additional period, the latter has not complied within this period.The contract is considered terminated upon receipt by the Seller of the letter or writing informing him of this resolution, unless the Seller has complied in the meantime. The amounts paid by the Customer will be reimbursed at the latest within fourteen days following termination of the order. If the package is collected by a third party on behalf of the Customer, they must present their identity document, that of the Customer, as well as a power of attorney from the Customer.

Home deliveries of bulky products (+30kg) are made at the foot of the building. However, deliveries to the floor by the carrier mandated by the Seller are possible and will be subject to a quote subject to the prior approval of the Customer.

Depending on the nature, dimensions and weight of the Products ordered, as well as the geographic delivery area and the delivery option chosen, the Customer's Order will be transported by one of the Seller's transport partners.

Special conditions – Delivery costs for new books

In accordance with article 1 of law no. 81-766 of August 10, 1981 relating to the price of books and the decree of April 4 2023 relating to the minimum pricing amount for the book delivery service, any order including one or more new books sent to the Customer's address is subject to the following specific rules regarding delivery costs:

  • when the total value of the new books included in the order is less than €35 including tax, the delivery costs invoiced cannot be less than €3 including tax;
  • when the total value of the new books included in the order is greater than or equal to €35 including tax, the delivery costs must be set at an amount strictly greater than €0 including tax.

These amounts constitute minimum thresholds imposed by regulations and constitute neither a flat rate nor a ceiling on delivery costs.

The delivery costs actually applicable to the order are calculated during validation of the basket, depending in particular on the content of the order, its weight, its characteristics, its destination and the delivery method selected by the Customer. They may therefore be higher than the minimum amounts provided for by the regulations.

For the application of these legal thresholds, only the value of new books included in the order is taken into account, including when it also includes other categories of products. The amount of the applicable delivery costs is indicated to the Customer before the final validation of his order and is paid concurrently with payment thereof.

  • notwithstanding the Customer's request for repair, the Seller reserves the right to replace the Product if the repair of the Product were to result in a manifestly disproportionate cost and/or if compliance proves impossible.Bringing a Product into conformity due to the Seller's inability to repair it within one (1) month following the Customer's request, gives rise, for the benefit of the Customer, to a new legal guarantee of conformity period of two (2) years attached to the replaced Product. This provision applies from the day the replacement Product is delivered to the Customer;
  • In accordance with article L217-10 of the Consumer Code, if repair and replacement of the Product(s) is impossible, the Customer may return the Product(s) and have the price refunded or keep the Product(s) and have part of the price refunded.
    The Customer has the same option if:
    • the solution requested, proposed or agreed, in application of the legal guarantee of conformity, cannot be implemented within one (1) month following the Customer's complaint; OR
    • if this solution cannot be done without major inconvenience for the Customer given the nature of the Product and the intended use.

However, the sale cannot be canceled if the lack of conformity is minor.

To exercise the legal guarantee of conformity, the Products concerned must be returned to the Seller in the condition in which the Customer received them with all the elements (accessories, instructions, etc.), as well as a copy of the purchase invoice.

Returns are made exclusively after agreement with the Seller's after-sales service (return voucher), which will organize the returns according to its transport methods and at the Seller's expense

Legal guarantee against hidden defects

The Seller is bound by the guarantee for hidden defects in the item sold which make it unfit for the use for which it is intended, or which reduce this use so much that the Customer would not have acquired it, or would have only given a lower price, if he had known about them (articles 1641 et seq. of the Civil Code). The Seller is not liable for apparent defects of which the Buyer was able to convince himself.

The action resulting from hidden defects must be brought by the Customer within two years from the discovery of the defect (article 1648, paragraph 1 of the Civil Code). In this case, the Customer can choose between canceling the sale or reducing the sale price in accordance with article 1644 of the Civil Code.

The Customer must provide proof of the existence of the defect, by any means, namely that:

  • The defect existed at the time of purchase;
  • The defect was hidden at the time of purchase;
  • The product is unsuitable for the use for which it is intended or is seriously diminished.

10.2. Commercial guarantee

The Seller grants its:

  • Non-Professional Customers, an extension of the above-mentioned legal guarantees to bring them to an overall duration of three (3 years) on all Products presenting the mention "3 year guarantee";
  • Professional customers, a one (1) year commercial guarantee.

This commercial warranty does not cover:

  • the replacement of consumables (examples: batteries, bulbs, fuses, wear of recording or playback heads, strings, pre-amp and power tubes, etc.);
  • accessories (examples: speakers, power supplies, tweeters, faders and crossfaders, cases and covers, etc., except in special cases);
  • abnormal or non-compliant use of the Products (the Customer is invited to carefully consult the instructions for use provided with the Products).
  • damage due to the intervention of a repairer not approved by the Seller;
  • damage resulting from a cause external to the device (for example, accident, shock, lightning, current fluctuation, temperature and/or humidity differences, etc.).

The majority of manufacturers/suppliers take care of and manage the After-Sales Service (After-Sales Service) of their Products directly with the Customer. Consequently and where applicable, the Seller's after-sales service will redirect the Customer to the approved technical station so that their Product can be repaired.

Other brands require that the Product be received by the Seller before being transmitted to the technical station. The Seller's after-sales service will then generate a return agreement number.

Returns in Metropolitan France are made exclusively after agreement with the Seller's after-sales service (return voucher), which will organize the returns according to its transport arrangements and at the Seller's expense. Upon receipt of the return voucher sent by email by the Seller's after-sales service, the Customer will have 30 days to return their Products.If the Products are not returned within the allotted time, the return costs will be borne by the Customer.

The implementation of the Seller's commercial guarantee is carried out by repairing the damaged Product. In the event that the product cannot be repaired, the Seller will exchange it with a Product of equivalent characteristics, or reimburse it in the form of a credit valid for one (1) year. Reimbursement of the broken product requested by the Customer ends the contractual guarantee.

The Customer is informed that certain manufacturers/suppliers offer extended warranties to which the Seller is not a party. These guarantees are then provided directly by these manufacturers/suppliers under the terms and conditions defined by the latter as they appear on the descriptive sheets of the Products concerned by the “supplier guarantee”.

Please note that the commercial guarantee does not deprive the Customer of the provisions relating to the legal guarantee of conformity and/or the guarantee of hidden defects as recalled above.

10.3 Out-of-warranty repair

The provisions of this article apply, except for the application of the legal guarantees of conformity and hidden defects specified previously, if:

  • the Customer's device does not benefit from the application of a commercial guarantee covering its repair (in particular malfunction not covered by the guarantee)
  • or if the commercial guarantee is denounced upon deposit of the Customer's device.

In this case, the Seller will inform the Customer of the need to issue a quote.

Payment of a deposit

If the Customer accepts the out-of-warranty repair estimate, a deposit will be requested. This deposit will be deducted from the amount of the Product repair. In the event of refusal of repair by the Customer following the estimate, this sum as a deposit will remain with the Seller.

In accordance with article L. 214-2 Consumer Code, sums paid in advance bear interest at the legal rate at the expiration of a period of three months from payment until the repair service is carried out. This interest is deducted from the balance to be paid at the time of completion.

Establishing the quote

The quote is estimated and is valid for one (1) month from its date of issue. Upon acceptance of this quote by the Customer, and payment of the amount due, the repair of the Product will be scheduled and the return date communicated to the Customer.

Amendment quote

Quotes are only estimates. During the repair, the diagnosis of the nature, extent and number of malfunctions affecting the device may be modified. If the cost of the repair proves to be higher than the amount of the estimate previously sent and accepted, an amended estimate will be established and the device will only be repaired after obtaining the Customer's prior and express agreement on the new amount of the repair estimate which will be indicated to him. In any event, this corrective estimate is valid for one (1) month from its date of issue.

This amended estimate is sent to the Customer by email and/or postal mail to the address indicated on the repair order. After acceptance of the corrective estimate by the Customer, the Product is repaired and the amount of the deposit, if such a deposit has been paid, will be deducted from the amount of the repair.

The Customer is reminded that accepting the proposed corrective quote implies their obligation to pay the price indicated.

Refusal of Quote by the customer

In the event of refusal by the Customer of the proposed estimate or corrective estimate:

  • the Product will be returned to the Customer as is or, where applicable, destroyed with the prior written agreement of the latter;
  • return costs (and, where applicable, administrative management costs) will be invoiced to the Customer in the event of a request for return of the unrepaired Product;
  • the deposit paid by the Customer will be kept by the Seller.

11. Responsibility

The Seller cannot be held liable in the event of non-compliance with the legislation of the country where the product is delivered and it is up to the Customer to check in advance with the local authorities the possibilities of importing or using the Products he plans to order.

Consequently, the total or partial impossibility of using the Products, in particular due to incompatibility of the equipment, cannot give rise to any compensation, reimbursement and/or liability of the Seller, except in the case of a proven hidden defect, non-conformity, defect or the exercise of the right of withdrawal provided for by the Consumer Code. The Seller is only responsible for the content of the pages he publishes.

In the event of professional purchases: the Seller will not incur any liability for any indirect damage as a result of these General Conditions of Sale, operating loss, loss of profit, loss of opportunity, damage or costs, which may arise due to the purchase of the Products and/or any other damage resulting from improper use of the Products. Legal guarantee of conformity

Article L217-4 of the Consumer Code

The good complies with the contract if it meets in particular, where applicable, the following criteria:

  • 1° It corresponds to the description, type, quantity and quality, in particular with regard to functionality, compatibility, interoperability, or any other characteristics provided for in the contract;
  • 2° It is suitable for any special use sought by the consumer, brought to the attention of the seller at the latest at the time of conclusion of the contract and which the latter has accepted;
  • 3° It is delivered with all accessories and installation instructions, to be supplied in accordance with the contract;
  • 4° It is updated in accordance with the contract.

In accordance with article 21 of Ordinance No. 2021-1247 of September 29, 2021, these provisions apply to contracts concluded from January 1, 2022.

Article L217-5 of the Consumer Code

I.- In addition to the criteria of conformity with the contract, the good is compliant if it meets the following criteria:

  • 1° It is suitable for the use usually expected of a good of the same type, taking into account, where applicable, any provision of European Union law and national law as well as all technical standards or, in the absence of such technical standards, specific codes of conduct applicable to the sector concerned;
  • 2° Where applicable, it possesses the qualities that the seller presented to the consumer in the form of a sample or model, before the conclusion of the contract;
  • 3° Where applicable, the digital elements it contains are provided according to the most recent version available at the time of conclusion of the contract, unless the parties agree otherwise;
  • 4° Where applicable, it is delivered with all accessories, including packaging, and installation instructions that the consumer can legitimately expect;

  • 6° It corresponds to the quantity, quality and other characteristics, including in terms of durability, functionality, compatibility and safety, that the consumer can legitimately expect for goods of the same type, having regard to the nature of the good as well as public declarations made by the seller, by any person upstream in the chain of transactions, or by a person acting on their behalf, including in advertising or on labeling.

II.- However, the seller is not bound by any public declarations mentioned in the preceding paragraph if he demonstrates:

  • 1° That he did not know them and was not legitimately in a position to know them;
  • 2° That at the time of the conclusion of the contract, the public declarations had been corrected under conditions comparable to the initial declarations; or
  • 3° That the public statements could not have influenced the purchasing decision.

III.- The consumer cannot contest conformity by invoking a defect concerning one or more particular characteristics of the good, of which he was specifically informed that they deviated from the conformity criteria set out in this article, a deviation to which he expressly and separately consented when concluding the contract.

In accordance with article 21 of ordinance no. 2021-1247 of September 29, 2021, these provisions apply to contracts concluded from January 1, 2022.

Article L217-12 of the Consumer Code

Modified by Ordinance no. 2021-1247 of September 29, 2021 - art. 9

The seller may not proceed according to the choice made by the consumer if the requested compliance is impossible or entails disproportionate costs with regard in particular to:

  • 1° The value that the good would have in the absence of lack of conformity;
  • 2° The importance of the lack of conformity; and
  • 3° The possible possibility of opting for the other choice without major inconvenience for the consumer.

The seller may refuse to bring the property into conformity if this is impossible or involves disproportionate costs, particularly with regard to 1° and 2°. When these conditions are not respected, the consumer may, after formal notice, pursue the forced execution in kind of the solution initially requested, in accordance with articles 1221 et seq. of the civil code.Any refusal by the seller to proceed according to the consumer's choice or to bring the goods into conformity, is justified in writing or on a durable medium.

In accordance with article 21 of ordinance no. 2021-1247 of September 29, 2021, these provisions apply to contracts concluded from January 1, 2022.

Article L217-16 of the Consumer Code

In the cases provided for in article L. 217-14, the consumer informs the seller of his decision to terminate the contract. He returns the goods to the seller at the latter's expense. The seller reimburses the consumer the price paid and returns any other benefits received under the contract.

If the lack of conformity only concerns certain goods delivered under the sales contract, the consumer has the right to terminate the contract for all goods, even those not covered by this chapter, if he cannot reasonably be expected to agree to keep only the conforming goods.

For contracts mentioned in II of Article L. 217-1, providing for the sale of goods and, incidentally, the provision of services not covered by this chapter, the consumer has the right to the termination of the entire contract. In addition, in the case of a bundled offer within the meaning of article L. 224-42-2, the consumer has the right to terminate all related contracts.

The respective obligations of the parties to the contract, mentioned in article L. 224-25-22 and relating to the consequences of the resolution for digital content and digital services, are applicable to the resolution of the contract of sale of a good comprising digital elements.
